COMPANY SECRETARY AND HEAD OF LEGAL SERVICES
Job Purpose:
Reporting to the Managing Director, the incumbent provides legal advice to the bank, management, and the Board of Directors, as well as providing legal representation to the bank. As Company Secretary, the incumbent is a central point of contact between management and the Board and coordinates how the board interacts with management.
Key Responsibilities include and are not limited to the following:
- Guide the strategic and operational aspects of the bank, ensuring that all potential legal risks are addressed and all aspects of the business of banking are compliant with laws, regulatory directives, and various bank policies and procedures.
- Lead and manage the provision of legal advice to the Board, management, and staff on all issues affecting the Bank.
- Represent, or manage representation of, the Bank before courts, regulatory, and administrative bodies, as well as in arbitration and other proceedings.
- Lead legal negotiations between the bank and other parties, ensuring that the Bank’s interests are represented and that risks are identified and mitigated.
- Act as Company Secretary of the Board, including establishing and implementing procedures for meetings of the Board and ensuring that Board meetings and actions comply with corporate governance.
- Advise management and the Board regarding contractual matters, e.g., employment, procurement, customer products and services, including drafting and negotiating contracts/agreements.
Qualifications, Experience, and Skills/Competencies:
- Masters degree in law or any other relevant field from a recognized and accredited university. Certification as a company secretary will be an added advantage.
- Applicants should also be qualified and certified in good standing to practice law in Malawi.
- Eight (8) years of relevant experience working as legal counsel, preferably as in-house counsel.
Good knowledge of the law of banking and finance; financial services regulation; commercial law, company law, the law of contract; and labour laws - Experience working as or with a company secretary on governing board and corporate governance, compliance, and record-keeping matters.
- Proven supervisory or management experience of attorneys and other staff.
- Demonstrable history of delivering high-quality projects on time and within budget.
