MANDATE

The Governance, Risk and Compliance Coordinator under the supervision of the General Manager, will play an active role in the compliance, governance and risk management and reporting for Mpatamanga Hydropower Project Limited (MHPL). This position is an excellent opportunity for a motivated professional to play a pivotal role in shaping the organization’s governance, risk, and compliance

The Governance, Risk and Compliance Coordinator will be responsible for ensuring that the MHPL adheres to all applicable laws, regulations, international standards and good international industry practice. This role requires the development and implementation of governance frameworks, monitoring compliance with internal policies and external requirements, and ensuring the project’s meets the expectations of all the project’s stakeholders (shareholders, lenders…).

The Governance, Risk and Compliance Coordinator will be responsible for managing and mitigating compliance risk including but not limited to fraud, antibribery and corruption. He/She compile, coordinate and submit all necessary reports to ensure corporate governance on timely basis and support lender and shareholder due diligence.

The Compliance, Governance and Risk Coordinator will be responsible for the quality and consistency of the company’s minutes, policy, procedure, and guidelines including submission to senior management and the board as appropriate. He/She will assure policy and reporting compliance with Malawi national legislation and Good International Industry Practice including (IFC PS, WB ESF, AfDB, Equator Principles 4 and shareholder requirements). They will seek to improve efficiency and reduce project costs and risks, contributing to a robust cost and risk conscience culture.

The Governance, Risk and Compliance Coordinator will be a self-starter with a strong written and verbal communication skills able to work well autonomously and as part of team. They will have a strong interest in continuous improvement and be able to work across teams to proactively manage emerging legislation, regulation, and stakeholder requirements. The successful candidate will play a pivotal role in delivering decision support to senior management and be agile to adapting priorities.

CRITICAL INTERFACES

The Compliance, Governance and Risk Coordinator will have a key interface role across the organisation supporting good internal control, governance, risk and compliance with an external dimension facing into senior management, lenders and shareholders

CORE RESPONSIBILITIES

a) Governance Framework Development:

a. Develop and maintain a robust governance framework that aligns with project goals, international financing agreements, and regulatory requirements.

b. Ensure the framework is communicated effectively to all stakeholders and deadlines are met consistently

b) Compliance:

a. Monitor the project’s compliance with local, regional, and international laws, regulations and requirements including the shareholders compliance policies

b. Ensure the compliance requirements are communicated effectively to all stakeholders and implemented consistently

c) Policy procedures and guidelines Implementation:

a. Develop and implement internal policies, procedures and guidelines to ensure compliance with financing agreements and industry best practices.

b. Conduct periodic self-audits to ensure adherence by all project teams.

d) Risk Management:

a. Identify and assess compliance risks related to project activities and develop mitigations.

b. Implement and manage risk reporting to inform senior management of potential issues.

e) Training and Awareness:

a. Design and deliver training programs to ensure all project staff are aware of their compliance and governance responsibilities.

b. Promote a culture of compliance and ethical behaviour across the project.

f) Reporting and Documentation:

a. Prepare and present regular reports on compliance and governance matters to senior management, stakeholders, and international financiers.

b. Maintain accurate and up-to-date records of all compliance and governance activities, including audits and training sessions.

g) Stakeholder Engagement:

a. Serve as the primary point of contact for all project governance and compliance-related inquiries from international financiers, regulatory bodies, and other key stakeholders.

b. Collaborate with legal, finance, and project management teams to address any compliance or governance issues.

h) Continuous Improvement:

a. Monitor industry trends and regulatory changes to ensure the project remains compliant and adopts best practices.

b. Proactively recommend enhancements to the governance framework and compliance processes.

CRITICAL QUALIFICATIONS AND COMPETENCIES

Qualifications

  • Bachelor’s degree in Law, Business Administration, or a related field. A Master’s degree; MBA or other relevant professional certification is desirable.
  • Minimum of 5 years of experience.
  • Strong understanding of international regulations, including project risks and environmental and social governance (ESG).
  • Experience working on large-scale infrastructure projects with international stakeholders is a plus.
